2. Applicability
These terms apply to all offers, orders and agreements between Ludovick Development (trading as Teddy Peps) and the buyer. By placing an order the buyer accepts these terms.
3. Research use only
All products are supplied exclusively for laboratory research use by qualified researchers and institutions. They are not medicinal products, food supplements, cosmetics or consumer goods, and are not intended for human or veterinary use. See our RUO disclaimer.
4. Orders and buyer eligibility
The agreement is formed when Teddy Peps confirms the order by email. We reserve the right to refuse or cancel an order without stating reasons, in particular where there is doubt about the research nature of the intended use, the researcher's qualification or the destination jurisdiction.
5. No resale, no redistribution
The buyer may not resell, redistribute, gift, repackage, or otherwise transfer the products to any third party, whether for consideration or free of charge, and may not offer the products for human or veterinary use in any form. Breach of this clause entitles Teddy Peps to (a) immediately terminate the buyer's account and all pending orders without refund, (b) recover any chargebacks, payment-processor fees, legal costs and reasonable investigative costs from the buyer, and (c) report the breach to payment processors and relevant authorities.
6. Prices and payment
All prices are in euros and, where applicable, include VAT. Payment is due before shipment via the payment methods offered on the website.
7. Delivery
Shipping takes place from an EU warehouse, generally within 24 hours on business days. Delivery windows are indicative. Risk of damage or loss passes to the buyer on delivery. See the Shipping Policy for carrier-specific details.
8. Right of withdrawal and returns
Because the products are sealed research reagents, the statutory right of withdrawal is limited. See Returning Policy for the full arrangement.
9. Liability
Teddy Peps is not liable for damage arising from any use of the products outside a controlled laboratory environment, or from any use inconsistent with the RUO disclaimer. Our liability in all cases is limited to the invoice amount of the relevant order.
10. Governing law, arbitration and class-action waiver
These terms and every dispute arising out of or in connection with them are governed by the law of the Netherlands, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved between the parties within 30 days of written notice will be finally settled by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC). The seat of the arbitration is Amsterdam, Netherlands. The proceedings are conducted in English by a sole arbitrator, and the arbitral award is final and binding on the parties.
Class-action waiver. The buyer and Teddy Peps each agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator has no authority to consolidate more than one person's claims or to preside over any form of a representative or class proceeding. If this waiver is held unenforceable as to a particular claim, that claim (and only that claim) will be resolved by the competent courts of Amsterdam, Netherlands.
